Subcontracting

Clause 9: Subcontractors and Agents​

9.1 ​Right to Subcontract:​​ The Service Provider may, at its discretion, engage third-party carriers, subcontractors, or agents (collectively, "Subcontractors") to perform all or any part of the transportation services.

9.2 ​Vetting and Responsibility:​​ The Service Provider shall exercise due diligence in selecting Subcontractors it deems competent and reliable. Notwithstanding the use of Subcontractors, the Service Provider shall remain primarily liable to the Client for the performance of the services under this Agreement as if it performed the services itself.

9.3 ​Flow-Down Terms:​​ The Service Provider shall ensure that any agreement with a Subcontractor contains provisions that protect the Client's interests, including terms related to confidentiality, data security, insurance, and liability that are no less protective than those contained in this Agreement
